Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and EasyTradeWare ("ETW", "we", "us" or "our"), a company based in India. They govern your access to and use of easytradeware.com and the related software, trading panel, strategies, reports, backtesting tools and other services we provide (together, the "Services").

By creating an account, connecting an exchange account or otherwise using the Services, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.

1. About ETW and the Services

1.1 ETW provides software that connects to digital-asset exchange accounts that you own and control, using API keys that you create, and automatically places, modifies and cancels orders on those accounts according to the rules-based strategy and settings selected for each connection, either by you or by an Administrator you have authorised (Section 7). The Services also include dashboards, position and performance reports, backtesting and research tools, and related content.

1.2 ETW is non-custodial. We never take possession or control of your funds or digital assets, we do not accept deposits, and we never request withdrawal or transfer permissions on your API keys. Your assets remain at all times in your exchange account, in your name, and subject to that exchange's terms.

1.3 ETW is not a digital-asset exchange, broker, dealer, bank, payment institution, custodian or investment fund. Nothing in the Services is an offer or solicitation to buy or sell any security, digital asset or other financial instrument, or constitutes personalised investment, financial, legal or tax advice, and ETW does not act as your fiduciary.

1.4 ETW is independent of the exchanges it connects to. Unless we expressly state otherwise, ETW is not affiliated with, endorsed by, or an agent of any exchange. Exchange names and logos are used only to identify the platforms the Services work with.

2. Eligibility

To use the Services, you must:

1. be at least 18 years old and have full legal capacity to accept these Terms;
2. not be located in, resident in or (for an entity) incorporated or organised in a Restricted Jurisdiction (Section 3);
3. not be, and not be owned or controlled by or acting on behalf of, a person subject to sanctions administered or enforced by the United Nations Security Council, the European Union, the United Kingdom, the United States (including persons on OFAC's Specially Designated Nationals and Blocked Persons List) or any other applicable authority (a "Sanctioned Person");
4. use the Services only with exchange accounts held in your own name, or in the name of an entity you are authorised to bind; and
5. be permitted, under the laws that apply to you, to use automated trading software and to trade the digital assets and products concerned.

If you use the Services on behalf of a company or other entity, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that entity.

3. Restricted Jurisdictions

3.1 The Services are not offered to, and must not be used by, anyone located in, resident in, or incorporated or organised in any of the following (each a "Restricted Jurisdiction"):

• Belarus
• Cuba
• Iran
• Netherlands
• North Korea
• Russia
• Syria
• Venezuela
• the Crimea region of Ukraine (including Sevastopol) and the other regions of Ukraine under Russian occupation, including the so-called Donetsk and Luhansk People's Republics and the occupied parts of the Kherson and Zaporizhzhia regions
• any other country or territory subject to comprehensive (country- or territory-wide) sanctions imposed by the United Nations, the European Union, the United Kingdom or the United States

3.2 We block access to the Services from Restricted Jurisdictions using IP-address geolocation, and we refuse registrations that declare residence in a Restricted Jurisdiction. You must not use a VPN, proxy server or any other method to get around these controls or to misrepresent your location or residence.

3.3 If we determine, or reasonably suspect, that you are located in or resident in a Restricted Jurisdiction, or that you are a Sanctioned Person, we may immediately and without notice suspend or close your account and stop all automated trading on your connected accounts, without liability to you. Any positions or orders open on your exchange accounts at that time remain your responsibility.

3.4 We may add jurisdictions to this list at any time, with immediate effect, where required by law, by our exchange or service partners, or by our own risk assessment. If you become located in or resident in a Restricted Jurisdiction, you must stop using the Services immediately and tell us at info@easytradeware.com.

4. Your account

4.1 You must give accurate, current and complete information when you register, including your country of residence, and keep it up to date.

4.2 Your account is personal to you. You must not share your login details or let anyone else use your account (other than an Administrator you have authorised under Section 7), and you must not open an account for another person without their authority.

4.3 You are responsible for keeping your password secure and for all activity under your account. Tell us immediately at info@easytradeware.com if you suspect unauthorised access.

4.4 We may approve, refuse, limit or withdraw access to the Services, or to particular features such as the trading panel or specific exchanges, at our discretion.

5. Exchange connections and API keys

5.1 To use automated trading, you create API keys on a supported exchange and provide them to ETW. Enable only the permissions needed to read account data and to trade. You must not enable withdrawal or transfer permissions; ETW will never ask for them. Where your exchange supports it, you should also restrict each key to the IP addresses we specify.

5.2 By connecting an API key, you authorise ETW to access your exchange account information (including balances, positions, orders and trade history) and to place, modify and cancel orders on your behalf in line with the strategy and settings selected for that connection, until you disconnect the account or revoke the key.

5.3 You can revoke our access at any time by deleting or disabling the API key at your exchange, or by disconnecting the account in your ETW dashboard. This stops new automated orders but does not close open positions or cancel open orders, which remain your responsibility.

5.4 Your use of each exchange is governed by that exchange's own terms, including its eligibility rules, its identity-verification (KYC) requirements and its own list of restricted jurisdictions, and you are responsible for complying with them. You are responsible for all exchange fees, funding payments and liquidations. ETW is not responsible for any act or omission of an exchange, including outages, API changes, rejected, delayed or partially filled orders, pricing errors, account restrictions, insolvency or the loss of assets held at the exchange.

6. Strategies and automated trading

6.1 ETW strategies are systematic and rules-based. Once a connection is active, orders are generated and executed automatically, 24 hours a day, without manual review of individual trades. Strategies may use leverage and may open long and short positions in derivatives such as perpetual futures.

6.2 You are responsible for deciding whether a strategy and risk profile are suitable for you. Strategy descriptions, risk profiles, backtests, simulations, live track records and other performance information are illustrative only. They may not reflect fees, slippage, funding costs, your account size or your start date, and they are not a promise or guarantee of future results.

6.3 Results differ between accounts, even on the same strategy, because of timing, account size, minimum order sizes, liquidity, exchange limits, connectivity and API rate limits. Orders may not be executed, or may be executed at prices different from those expected.

6.4 We may modify, pause or discontinue any strategy, or adjust its parameters, position sizing or risk limits, at any time and with or without notice, for example in response to market conditions, technical problems or legal requirements.

6.5 If you trade manually on a connected account, change its leverage or margin settings, or close or alter positions opened by a strategy, the strategy may behave unpredictably. ETW is not responsible for any resulting loss.

7. Administrator-managed accounts

7.1 You may join ETW using a referral code issued by an administrator, or be assigned to one; for example, an ETW partner or account manager (an "Administrator").

7.2 If your account is linked to an Administrator, you authorise that Administrator, within the permissions ETW grants them, to view your account details, connected exchange accounts, balances, positions and trade history; to add, change or remove exchange connections and strategy settings on your behalf; and to place or close trades on your connected exchange accounts.

7.3 Unless we tell you otherwise, Administrators are independent of ETW and are not our employees or agents. ETW is not responsible for an Administrator's decisions, recommendations or conduct, or for any separate arrangement (including fees) between you and an Administrator.

7.4 You can ask us to unlink your account from an Administrator at any time by emailing info@easytradeware.com, and you can always revoke your API keys at your exchange.

8. Risk disclosure

By using the Services, you acknowledge and accept that:

1. digital assets are highly volatile and speculative; their prices can fall sharply and may fall to zero;
2. leverage magnifies losses as well as gains; leveraged positions can be liquidated automatically by the exchange, and you may lose all of the funds in your exchange account;
3. automated strategies can and do incur losses, including prolonged drawdowns, and can fail because of software defects, inaccurate data, connectivity failures or exchange outages;
4. past performance, including backtests, simulations and the results of other accounts, is not a reliable indicator of future results, and ETW does not guarantee any profit or protect you against loss;
5. the legal and tax treatment of digital assets is uncertain and changing; new laws, regulations or exchange policies may adversely affect the Services or your positions, or make the Services unavailable to you; and
6. you should only trade with money you can afford to lose, and should seek independent financial, legal and tax advice where appropriate.

9. Fees and payment

9.1 Some Services require a paid plan. Depending on your plan, fees may include a subscription fee and/or management and performance fees; performance fees are charged only on net new profits above a high-water mark. The fees, billing periods, calculation method and payment methods that apply to you are those shown on our website or agreed with you in writing when you subscribe.

9.2 Unless stated otherwise, subscription fees are payable in advance for each billing period, and management and performance fees are calculated and invoiced in arrears. You are responsible for any taxes that apply to your payments, and for all exchange, network and conversion fees.

9.3 Except where required by law or expressly agreed in writing, fees are non-refundable, including where you stop using the Services part-way through a billing period or where a strategy incurs losses.

9.4 We may change our fees by giving you advance notice; changes apply from your next billing period. If fees are not paid when due, we may suspend the Services.

10. Acceptable use

You must not:

1. use the Services in breach of any applicable law or regulation, including sanctions, anti-money-laundering, counter-terrorist-financing, securities, commodities and tax laws;
2. use the Services for market manipulation or abusive trading, including spoofing, layering, wash trading or pump-and-dump schemes;
3. connect an exchange account that you do not own or are not authorised to operate, or give false or misleading information;
4. get around, or try to get around, our geographic restrictions or other access controls, including by using a VPN or proxy;
5. copy, modify, reverse-engineer, decompile or try to extract the source code, strategy logic or signals of the Services, or resell, sublicense or redistribute the Services, except to the extent the law expressly allows;
6. interfere with or disrupt the Services, probe, scan or test the vulnerability of our systems without our written permission, or introduce malware; or
7. access the Services by automated means such as bots or scrapers, other than through interfaces we provide for that purpose.

11. Compliance, verification and sanctions screening

We may ask you for information to verify your identity, location, residence, ownership of your exchange accounts or authority to act for an entity, and we may screen users against sanctions lists. We may refuse, suspend or terminate the Services, and may report to the competent authorities, where required by law or where we reasonably suspect a breach of these Terms or of applicable law. Where the law prevents us, we may not be able to tell you why.

12. Intellectual property

12.1 The Services, including our software, strategies, models, signals, algorithms, website content, trademarks and logos, are owned by ETW or its licensors and protected by intellectual-property laws.

12.2 Subject to these Terms and to payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Services for your own trading. All rights not expressly granted are reserved.

12.3 If you send us feedback or suggestions, we may use them without any obligation to you.

13. Third-party services

The Services rely on third-party services, including exchanges, cloud hosting, email delivery and Google reCAPTCHA. We do not control and are not responsible for third-party services, and your use of them is subject to their own terms and privacy policies. Links to third-party websites are provided for convenience only.

14. Availability and changes to the Services

We aim to keep the Services available around the clock but do not guarantee that they will be uninterrupted, timely or error-free. The Services may be unavailable because of maintenance, upgrades, failures or events outside our control. During any interruption, orders that our software would otherwise place, including exits and risk-management orders, may not be placed, so you should keep monitoring your exchange accounts. We may change, suspend or discontinue any part of the Services at any time.

15. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement or accuracy, or that the Services will achieve any particular result or be uninterrupted, secure or error-free.

16. Limitation of liability

16.1 To the maximum extent permitted by law, ETW and its directors, officers, employees, affiliates, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any trading losses or loss of profits, revenue, data, goodwill or digital assets, arising out of or relating to the Services or these Terms, however caused and even if advised of the possibility of such damages.

16.2 To the maximum extent permitted by law, ETW's total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the fees you paid to ETW in the twelve (12) months before the event giving rise to the claim and (b) USD 100.

16.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud.

17. Indemnity

You will indemnify and hold harmless ETW and its directors, officers, employees and affiliates from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Services or of your exchange accounts.

18. Suspension and termination

18.1 You may stop using the Services at any time: disconnect your exchange accounts, revoke your API keys at the exchange, and ask us to close your account by emailing info@easytradeware.com.

18.2 We may suspend or terminate your access to all or part of the Services, with or without notice, if you breach these Terms; if we are required to by law, a regulator or one of our partners; if we suspect fraud, sanctions exposure or access from a Restricted Jurisdiction; if fees are unpaid; or if we discontinue the Services.

18.3 When your access is suspended or terminated, we stop placing new orders on your connected accounts. Open positions and orders are not closed automatically and remain your responsibility, and you should revoke your API keys.

18.4 Sections 8, 9 (for fees already owed), 12 and 15 to 21 survive termination.

19. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, notify you by email or through the Services. Changes take effect when posted unless a later date is stated, except that fee changes take effect as described in Section 9.4. Changes required by law, including additions to the Restricted Jurisdictions, may take effect immediately. If you continue to use the Services after a change takes effect, you accept the updated Terms; if you do not agree, you must stop using the Services.

20. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes), are governed by the laws of India, without regard to its conflict-of-law rules. Before starting any proceedings, you agree to contact us at info@easytradeware.com and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved informally will be subject to the exclusive jurisdiction of the competent courts in India, unless mandatory law where you live gives you the right to bring proceedings elsewhere.

21. General

21.1 These Terms, together with our Privacy Policy and any plan-specific terms agreed with you in writing, are the entire agreement between you and ETW about the Services.

21.2 If any provision is found invalid or unenforceable, the rest of these Terms remains in effect. If we do not enforce a provision, we have not waived our right to do so later.

21.3 You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours in connection with a merger, acquisition, reorganisation or sale of assets.

21.4 We are not liable for any failure or delay caused by events beyond our reasonable control, including exchange or network failures, cyberattacks, power or internet outages and acts of government.

21.5 Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship between you and ETW.

21.6 We may send you notices by email to the address registered to your account. These Terms are written in English; if we provide a translation, the English version prevails.
